(i) Acquisitions by Sabah Development Company Sdn Bhd ("SDC"),
a wholly-owned subsidiary of Asiatic Development Berhad
("Asiatic"), of the following:
- The entire issued and
paid-up share capital of Cengkeh Emas Sdn Bhd and Kituva
Plantations Sdn Bhd from Syarikat Trushidup Sdn Bhd ("ST")
and several individuals for a total cash consideration of
RM19,990,715;
- The entire issued and
paid-up share capital of Dianti Plantations Sdn Bhd,
Trushidup Plantations Sdn Bhd and Wawasan Land Progress
Sdn Bhd from several individuals for a total cash
consideration of RM81,801,979;
- Approximately 1,607 acres
of plantation land together with a palm oil mill, assets
and vehicles located in the district of Kinabatangan,
Sabah from ST and an assignment of land measuring
approximately 142 acres located in the district of
Kinabatangan, Sabah by ST to SDC for a total cash
consideration of RM50,320,800; and
- Other plantation assets
comprising vehicles, equipment and machinery from
Trushidup Resources Sdn Bhd for a total cash consideration
of RM986,609;
(ii) Acquisition by Asiaticom
Sdn Bhd, a 70% owned subsidiary of Asiatic, of approximately
5,110 acres of plantation land together with estate
buildings, plant and machinery located in the district of
Kinabatangan, Sabah from ST for a total cash consideration
of RM51,895,364.
